OHRYA TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

1.1 By accessing www.ohrya.org or any OHRYA-controlled page, mobile site, or smart-contract interface (collectively, the "Platform"), you ("User," "you") agree to be bound by this Agreement and the incorporated Privacy Policy.

1.2 If you are under 18 you may use the Platform only with the consent of your parent or legal guardian.

2. DEFINITIONS

  • "Campaign" – a time-bound, cause-themed fund-raising and advocacy program.

  • "Contribution" – a tax-deductible donation or pledge made to OHRYA Foundation, Inc., a Florida 501(c)(3) public charity.

  • "AMOE" – Alternative Method of Entry that allows participation without payment.

  • "Nonprofit Listing" – a charitable organization identified from public IRS data and displayed for informational voting purposes only.

  • "SIS" – Social Impact Score, a merit-based measure of advocacy effectiveness.

  • "Luminary" – symbolic recognition of the participant with the highest verified SIS who also voted for the winning nonprofit.

3. PLATFORM PURPOSE

3.1 OHRYA democratizes generosity by combining collective contributions, equal voting, and transparent blockchain record-keeping.

3.2 OHRYA does NOT operate sweepstakes, lotteries, raffles, games of chance, or prize promotions.

3.3 No Private Benefit / No Quid Pro Quo

  • All Contributions support the charitable purposes of OHRYA Foundation, Inc.

  • Contributors do not receive goods, services, benefits, or preferential treatment in exchange for Contributions.

  • The Social Impact Score, Luminary recognition, and any promotional experience are symbolic and have no monetary value, do not constitute consideration, and do not affect a donor's tax-deductibility.

3A. EXPLICIT: NOT A SWEEPSTAKES

  • OHRYA is NOT a sweepstakes, lottery, raffle, contest, or prize promotion.

    Key distinctions: No prizes or rewards are offered by OHRYA Foundation, Luminary recognition is symbolic only, with no monetary value, Selection is merit-based (highest verified SIS), not chance-based, AMOE participants have full equal rights (no purchase advantage), Promotional experiences are separate, optional, and contracted independently, Contributions are tax-deductible charitable gifts, not consideration for prizes

    This model is designed to comply with all charitable solicitation laws and avoid sweepstakes classification.

4. NONPROFIT LISTINGS – INFORMATIONAL ONLY

4.1 Listed charities are NOT partners, agents, or endorsers; they do NOT participate in Campaigns.

4.2 OHRYA displays only legal names and IRS subsection; no logos or trademarks.

4.3 Any charity may request removal by e-mail to hello@ohrya.org; removal within 5 business days.

4.4 No Endorsement by Listed Charities

  • The appearance of a charitable organization on the Platform does not constitute endorsement, approval, sponsorship, or participation by that organization. Listed charities do not review or approve Campaigns, messaging, content, or promotional experiences, and do not select or approve the Luminary.

5. NO SOLICITATION "ON BEHALF OF" ANY CHARITY

5.1 All Contributions are received by OHRYA for its own exempt purposes.

5.2 Voting results guide—but do not bind—OHRYA’s independent grant-making.

5.3 Grants are unrestricted and issued solely at OHRYA’s discretion; no charity is guaranteed funds.

5.4 Charitable Solicitation Disclosures

  • OHRYA maintains active charitable-solicitation registrations where required.

    Certain states require additional disclosures, which will be posted on the Campaign page or footer where applicable.

6. CONTRIBUTION MODELS

Each Campaign discloses one of the following at checkout:

  1. Pledge Model – card tokenized; charged only if threshold reached.

  2. Donate-Now-Refund-Later – card charged; refund (minus processor fees) if threshold not reached.

  3. Hybrid – pledges plus immediate donations as specified.

6.4 Third-Party Payment Processing

  • Payment processing services are provided by independent third parties.

    OHRYA is not responsible for: (a) payment processing errors; (b) delays or holds imposed by processors; (c) loss of data arising from processor systems; or (d) processor fee structures.

  • Refunds exclude processor fees, which are nonrefundable to OHRYA.

7. ACTIVATION & VOTING

7.1 Funding threshold displayed on each Campaign page.

7.2 One vote per verified person; donation amount does NOT increase voting power.

7.3 Vote tallies and anonymized user IDs may be published on Algorand; no personal data on chain.

7.4 OHRYA retains sole discretion to certify results and select grant recipients.

7.5 Right to Modify, Suspend, or Cancel a Campaign

  • OHRYA may modify, pause, or cancel any Campaign at its sole discretion, including but not limited to situations involving: charity ineligibility,, fraud,, insufficient threshold progress,, technical issues,, regulatory changes,, Force Majeure (Section 21.5).

    If canceled before activation: pledges expire uncharged,, donations are refunded minus processor fees.

8. ALTERNATIVE METHOD OF ENTRY (AMOE)

8.1 No purchase necessary. Mail a 3×5 card with name, e-mail, Campaign name, and "AMOE request" to:

8.2 Limit: one AMOE per person per Campaign.

8.3 AMOE entrants may vote, generate SIS, and become Luminary nominees with full equal rights to donors.

9. SOCIAL IMPACT SCORE (SIS)

9.1 Calculated from verified referrals, sign-ups, advocacy actions; donation size is NOT a factor.

9.2 SIS is used solely for symbolic recognition; no cash value.

9.3 Fraud Monitoring & Audit Rights

  • OHRYA may audit referral data, AMOE entries, voting records, IP addresses, and device identifiers to ensure integrity. OHRYA may disqualify any User for fraud, manipulation, or misuse, including bot activity.

10. LUMINARY RECOGNITION

10.1 Participant with highest SIS who voted for winning nonprofit may be named "Luminary."

10.2 Recognition is optional, non-transferable, and without remuneration.

10.3 Tie-Breaking Sequence (if SIS identical):

  1. Highest SIS to fourth decimal place.

  2. Most verified total advocacy actions.

  3. Highest conversion percentage (verified referrals ÷ total attempts, four decimals).

  4. Total money raised through participant's referral link (net of refunds/fees).

  5. Earliest system timestamp of first verified advocacy action.

10.4 If tie remains, multiple Luminaries may be recognized.

10.5 Employees, board members, and immediate family of OHRYA or its promotional collaborators are ineligible.

11. OPTIONAL PROMOTIONAL EXPERIENCES

11.1 Third-party collaborators may offer Luminary an experience (e.g., travel, event tickets) after Campaign ends. During the promotional period beginning on Start Date and ending on End Date (the “Promotion Period”), individuals who sign up at ohrya.org will receive a unique referral link that they may share with others to encourage additional sign-ups. The participant whose unique referral link generates the highest number of valid, completed, and verified new sign-ups during the Promotion Period will receive a $2500 Gift Card (determined by Sponsor in its sole discretion) and have the opportunity to designate a qualified charitable organization to receive a $2,500 donation from OHRYA. Only genuine, individual sign-ups completed through the participant’s unique referral link during the Promotion Period will count, and OHRYA reserves the right, in its sole discretion, to determine whether referrals are valid and to disqualify any participant who engages in fraudulent, automated, deceptive, or manipulative practices, including self-referrals or the creation of duplicate accounts. No purchase or payment is required to participate. In the event of a tie, the participant who first achieved the highest number of verified referrals, as determined by OHRYA’s records, will be deemed the winner. The designated charity must be a recognized U.S. 501(c)(3) organization in good standing and subject to OHRYA’s approval; political organizations and organizations inconsistent with OHRYA’s mission are not eligible. The $2,500 donation will be paid directly to the approved charitable organization, and no cash or other compensation will be provided to the participant. OHRYA reserves the right to modify, suspend, or terminate the promotion if it determines, in its sole discretion, that the integrity of the promotion has been compromised. Participation constitutes agreement to these terms and to OHRYA’s decisions, which are final and binding. Void where prohibited by law.

11.2 Such offers are separate, optional, and governed by distinct agreements; acceptance or refusal has no effect on Luminary status.

11.3 No Endorsement by Charities

  • Promotional experiences are independent productions and do not involve the listed nonprofits. No charity endorses or participates in any aspect of the experience.

11.4 Luminary Tax Treatment

  • Any compensation, travel, goods, or benefits resulting from a promotional experience are governed exclusively by the separate promotional contract.

    Such benefits do not affect the tax-deductibility of Contributions.

12. GRANT DISTRIBUTION

12.1 Within thirty (30) days after vote verification OHRYA distributes 100% of net Contributions (after processor fees) to winning charity as unrestricted grant.

12.2 OHRYA absorbs all administrative costs; no deduction from Campaign funds.

13. REFUNDS & CHARGEBACKS

13.1 Pledge Model – if threshold not met, no charge occurs; no refund needed.

13.2 Donate-Now-Refund-Later – automatic refund minus processor fees within ten (10) business days if threshold not met.

13.3 User-initiated refunds – all sales final once threshold reached; exceptions at OHRYA's sole discretion.

14. TAX TREATMENT

14.1 Contributions are tax-deductible to the extent allowed by law.

14.2 IRS-compliant receipts e-mailed immediately upon successful charge.

14.3 Refunded amounts are NOT deductible; if partial refund, receipt cancelled and re-issued for retained amount.

15. USER CONDUCT

You agree NOT to:

  1. use bots, scripts, or fake accounts to inflate SIS or votes;

  2. submit fraudulent AMOE requests;

  3. harass, threaten, or defame any person or charity;

  4. reverse-engineer or interfere with Platform or blockchain oracle;

  5. violate any applicable law.

Violations may result in disqualification, account termination, and referral to law enforcement.

15.1 Right to Deny or Revoke Participation

OHRYA reserves the right to deny or revoke participation at any time for: violation of these Terms,, fraudulent or malicious activity,, bot farms or coordinated manipulation,, abuse of AMOE or SIS systems,, harm to platform integrity or reputation.

OHRYA's determination is final and binding.

16. INTELLECTUAL PROPERTY

16.1 All Platform content copyright 2026 OHRYA Foundation; all rights reserved.

16.2 By posting advocacy content you grant OHRYA a non-exclusive, worldwide, royalty-free license to use it (including on blockchain) in connection with the Campaign.

16.3 You retain ownership; you may delete from web interface, but immutable blockchain entries cannot be recalled.

17. PRIVACY & DATA SECURITY

17.1 Personal data processed under our Privacy Policy (incorporated herein).

17.2 OHRYA may remove or restrict content deemed harmful, offensive, defamatory, fraudulent, or violative of the law, community standards, or platform integrity.

18. DISCLAIMER OF WARRANTIES

PLATFORM PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND. OHRYA DOES NOT WARRANT UNINTERRUPTED ACCESS, ERROR-FREE OPERATION, OR FITNESS FOR A PARTICULAR PURPOSE.

19. LIMITATION OF LIABILITY

OHRYA's total liability for any claim shall not exceed the net amount of your Contribution, if any. OHRYA is not liable for indirect, incidental, consequential, or punitive damages.

20. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless OHRYA, its directors, officers, employees, and agents from any third-party claim arising out of your use of the Platform or violation of this Agreement.

21. GOVERNING LAW & DISPUTE RESOLUTION

21.1 This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-laws principles.

21.2 ANY DISPUTE MUST BE RESOLVED BY BINDING ARBITRATION administered by the American Arbitration Association in Broward County, Florida, under its Commercial Arbitration Rules.

21.3 CLASS-ACTION WAIVER – YOU AND OHRYA AGREE THAT ANY PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS; CLASS, MASS, CONSOLIDATED, OR REPRESENTATIVE ACTIONS ARE PROHIBITED.

21.4 Injunctive Relief – Either party may seek provisional or injunctive relief in any court to prevent actual or threatened violations of state or federal charitable-solicitation laws.

21.5 Force Majeure

  • OHRYA is not liable for delays or failures caused by acts of God, fires, floods, pandemics, government orders, terrorism, strikes, supply-chain interruptions, or other events outside its reasonable control.

22. SEVERABILITY & WAIVER

If any provision is held invalid, the remainder shall survive. Failure to enforce a provision does not waive future enforcement.

23. ENTIRE AGREEMENT

This Agreement, together with the Privacy Policy and any Campaign-specific supplemental rules, constitutes the entire understanding between you and OHRYA and supersedes all prior agreements.

25. EFFECTIVE DATE

By using the OHRYA Platform on or after this date, you acknowledge that you have read, understood, and agree to this Term of Service.
